1. Who we are, and what these Terms cover
Nijo is an AI-powered companion toy for children, together with the Nijo mobile app that a parent uses to set it up and supervise it.
These Terms & Conditions ("Terms") are a binding agreement between you - the parent or legal guardian ("you") - and Neuro Sapiens Private Limited, a company incorporated in India ("Neuro Sapiens", "we", "us").
They cover:
- the Nijo toy and its firmware (the "Device");
- the Nijo app for Android and iOS (the "App");
- the online service that makes Nijo work (the "Service").
Our Privacy Policy (https://nijostudio.com/privacy) explains what personal data we collect, how long we keep it, and how you delete it. It forms part of these Terms. Because Nijo is used by children, please actually read it.
By creating an account, pairing a Device, or letting a child use Nijo, you accept these Terms. If you do not accept them, do not use Nijo.
2. Eligibility - you are the account holder, not your child
The App is for parents. The toy is for children. They are two different things, and this distinction runs through these Terms:
- The App is intended for adults only - parents and legal guardians aged 18 or over. It is a setup and supervision tool. It is not designed for, marketed to, or intended to be used by children.
- The Device - the toy itself - is intended for children aged 3 to 10. A child uses the toy by talking to it. A child never uses the App.
It follows that:
- You must be at least 18 and the parent or legal guardian of every child who uses the Device.
- The account is yours. Children do not get accounts, do not sign in, and cannot buy anything.
- You are responsible for activity under your account, including your child's.
Email customer@nijostudio.com promptly if you think your account has been compromised.
3. Parental consent - the condition on which Nijo operates
This is the most important clause in this document.
Nijo works by listening to your child, sending their speech to our servers and to third-party AI providers, turning it into text, and generating a spoken reply. It also builds a lasting memory of your child - their name, interests, and things they have told it - so it can recognise them and respond personally over time. And it can alert you when a conversation touches a topic our safety classifier flags as concerning.
By pairing a Device and creating a child profile, you confirm that:
- you are the child's parent or legal guardian, and can consent on their behalf;
- you consent to the processing of your child's voice and speech to operate the Service, as described in the Privacy Policy;
- you consent to us storing transcripts of your child's conversations for up to 30 days, and to us storing a durable memory of facts about your child for as long as you keep using Nijo - until you choose to delete it;
- you consent to us storing recordings of your child's voice for up to 90 days, and to our staff listening to them to diagnose and fix the toy's mistakes. This applies while Nijo is in beta only. When the beta ends we will stop storing recordings and delete the ones we hold. You can delete them yourself at any time, or switch off conversation saving so none are kept;
- you understand the alerts feature involves automated scanning of the content of your child's conversations, and you consent to it;
- you have explained to your child, in words suited to their age, that the toy listens, talks back, remembers them, and can tell a parent about things they say.
You can withdraw this consent at any time - turn off conversation saving, delete the transcripts, delete the memory, delete the child's profile, or delete your account (Section 11). Withdrawing consent may stop parts of the Service working. That is how the product works, not a penalty.
Do not let a child use the Device if you are unwilling to give this consent, and do not let a child who is not yours use a Device you have paired without that child's own parent's consent.
4. Your account
Register with a valid email; we send a one-time code to verify it.
You may also sign in with Google.
Give us accurate information and keep it current.
Do not share, sell, or transfer your account.
We may suspend or terminate accounts that breach these Terms (Section 12).
5. The Device
5.1 Purchase
The Device is sold subject to these Terms and the sales terms shown at checkout. Title and risk pass on delivery. Price, taxes, shipping, and delivery timelines are as stated at the time of purchase.
5.2 What you must not do to the Device
Do not open, reverse-engineer, or modify the Device or its firmware; extract or attempt to extract keys or credentials from it; make it impersonate another Device; or connect it to any service other than ours.
5.3 Nijo needs Wi-Fi, and needs our servers
Nijo is not a standalone toy. It needs working home Wi-Fi with internet access, and it needs our servers. When your internet is down, or our Service is down, the Device will not converse. We do not guarantee uninterrupted availability (Section 9).
5.4 Battery, charging, physical safety
Follow the safety instructions in the box. Charge only with the supplied cable and a compliant power source. Do not leave a child unsupervised with a charging or damaged Device. Stop using a Device that is cracked, swollen, overheating, or has exposed internals, and contact us.
Nijo is a toy - not a safety device, a baby monitor, or a caregiver. It does not replace adult supervision. Recommended for ages 3 to 10.
6. AI conversations - what Nijo is, and what it is not
6.1 AI output is generated, and it can be wrong
Nijo's replies come from large language models. They are generated, not read from a vetted script. This means:
- Nijo can be factually wrong, and can be confidently wrong.
- Despite our safety prompts and filters, Nijo may occasionally say something inappropriate, upsetting, or biased - something you would not want a child to hear. We work hard to prevent this. We cannot promise it will never happen.
- Nijo's replies are not educational, medical, psychological, mental-health, or any other professional advice, for you or your child. Do not rely on them as such.
Nijo does not replace parental attention. If your child is distressed or in danger, a person must handle that - not a toy.
6.2 The alerts feature, and its limits
Nijo can automatically scan conversations for concerning topics and send you a notification with a short snippet of what was said.
This is a best-effort convenience feature, not a safeguarding system. It:
- will miss things - it is an automated classifier, and not an exhaustive one;
- will sometimes flag harmless things;
- depends on notifications actually reaching your phone, which depends on your phone, your network, and your notification settings - all outside our control;
- is not monitored by a human at our end. Nobody at Neuro Sapiens watches your child's conversations in real time, and nobody will intervene.
Do not rely on Nijo alerts to know whether your child is safe. If you are worried about your child's wellbeing, contact the appropriate professional or emergency service. To the fullest extent the law allows, we are not liable for harm arising from an alert that was not generated, not delivered, delivered late, or misread.
6.3 Acceptable use
Do not use Nijo, or let anyone use it, to: break the law; harass, abuse, or endanger anyone; deliberately elicit sexual, violent, self-harm, or otherwise harmful content; jailbreak or manipulate the AI's safety behaviour; probe, overload, or attack our infrastructure; scrape or resell the Service; or reverse-engineer our models or prompts.
If Nijo ever says something harmful to your child, tell us at customer@nijostudio.com. We want to know, and we will investigate.
7. Wi-Fi setup, location permission, and app permissions
We ask for location permission only to show you the Wi-Fi networks near you while you set the Device up. We do not use it to track you. We never collect, store, or share where you are.
Your home Wi-Fi password is sent straight from your phone to the Device. It is never sent to our servers.
The App also asks for notification permission, in order to deliver parental alerts. You may decline it; you then will not receive alerts.
8. Intellectual property
We own the Nijo software, firmware, models, prompts, designs, branding, and related IP. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the App and firmware solely to operate a Device you own, for personal, non-commercial, family use. All other rights are reserved.
You may not copy, modify, distribute, sell, lease, sublicense, or make derivative works of the software or firmware, or remove proprietary notices.
Your content. You and your child own what you say to Nijo and what you put in your profiles. You grant us a licence to use it only as needed to run, secure, support, and improve the Service, as described in the Privacy Policy - nothing broader. We do not sell it, and we do not use it for advertising.
9. Availability, changes, support
- We aim for a reliable Service but do not guarantee it will be uninterrupted, error-free, or available at any given moment. It depends on third-party infrastructure and AI providers.
- We may add, change, or remove features and perform maintenance at any time. If we materially reduce functionality you have paid for, we will give reasonable notice and, where appropriate, a pro-rata refund.
- If we shut the Service down entirely, we will give at least 90 days' notice, let you export your data, and refund the unused portion of any prepaid subscription.

10. Disclaimers and limitation of liability
Nothing in this section limits liability that cannot be limited by law - including for death or personal injury caused by our negligence, for fraud, or under the Consumer Protection Act, 2019. Your statutory consumer rights stand.
Subject to that:
- The Service is provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, so far as we may lawfully disclaim them.
- We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, data, goodwill, or opportunity.
- Our total aggregate liability for all claims connected with Nijo, in any 12-month period, is limited to what you paid us for the Device and any subscription in the 12 months before the claim arose.
11. Deleting your data and closing your account
From the App you can, at any time:
- turn conversation saving off, so future conversations are not stored;
- delete stored transcripts of your child's conversations, and the beta voice recordings described in the Privacy Policy;
- delete your account, which deletes your profile, your children's profiles, their transcripts, and their memory, subject to the limited exceptions in the Privacy Policy.
Email customer@nijostudio.com and we will do these for you, within one week:
- delete Nijo's memory of your child - the facts it has learned. Nijo will then no longer recognise them or refer back to earlier conversations;
- delete a child profile.
Account deletion is permanent and irreversible.
12. Suspension and termination
We may suspend or terminate your access, with notice where practicable, if you materially breach these Terms, if we reasonably suspect fraud or a safety risk to a child, or if the law requires it. Where a breach is fixable, we will normally tell you and give you a chance to fix it first.
If we terminate without cause, we refund the unused portion of your prepaid subscription.
Sections 8, 10, 12, 13, and 14 survive termination.
13. Governing law, disputes, grievances
These Terms are governed by the laws of India. The courts at Delhi have exclusive jurisdiction, subject to any right you have as a consumer to bring proceedings where you live.
Talk to us before litigating. Email customer@nijostudio.com and we will try in good faith to resolve the dispute within 30 days.
Grievance Officer (as required under Indian law): customer@nijostudio.com We acknowledge complaints within 24 hours and aim to resolve them within 15 days.
14. Other terms
- Changes. We may update these Terms. For material changes we will notify you in-app or by email at least 15 days before they take effect - and where a change affects how we handle your child's data, we will ask for your consent again rather than assume it.
- Assignment. You may not assign these Terms. We may assign them to a group company or to an acquirer of the business, on notice to you.
- Severability. If a clause is unenforceable, the rest survives.
- No waiver. Failing to enforce a right once does not waive it.
- Entire agreement. These Terms, the Privacy Policy, and the purchase terms are the whole agreement between us on this subject.
